Terms of Service

Use the site at your own risk. Obey the law. Respect other people, their work, and their systems. In less formal terms: don’t be a dick.

We are building useful software, publishing systems, experiments, and creative work. Treat them—and the people using them—with care. Verify anything important, keep your account secure, do not hurt people or systems, and understand that software and information can fail.

1. Agreement and eligibility

These Terms of Service (“Terms”) are a binding agreement between you and SyncroTel Labs, LLC, a Pennsylvania limited liability company (“SyncroTel Labs,” “we,” “us,” or “our”). They govern your access to and use of syncrotellabs.com and the websites, stores, accounts, applications, communication tools, publications, experiments, downloads, and related services we operate (collectively, the “Services”). By accessing or using a Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 18 years old or the age of legal majority where you live and legally capable of entering this agreement. If you act for an organization, you represent that you have authority to bind it, and “you” includes both you and that organization.

2. What the Services are—and are not

SyncroTel Labs provides creative software, infrastructure, publishing and communication systems, data tools, interactive experiments, reportage-related projects, digital products, and fictional or artistic works. Features may be experimental, incomplete, or changed without notice. Professional work performed for a client is governed by the separate proposal, statement of work, license, or other agreement applicable to that engagement; if that agreement conflicts with these Terms, the specific written agreement controls for that engagement.

Unless we expressly say otherwise, content and outputs are provided for general informational, educational, creative, or research purposes. They are not legal, medical, financial, investment, security, emergency, engineering, or other professional advice. Artificial-intelligence features and simulations can generate false, biased, incomplete, or unpredictable results. Fictional areas, characters, transmissions, locations, and entities are creative works and must not be treated as statements of real-world fact.

Verify material before relying on it. Do not use any Service as the sole basis for a decision affecting life, safety, liberty, property, finances, reputation, or critical operations. You assume the risks of your access, interpretation, and use.

3. Accounts and member content

You must provide accurate account information, keep credentials confidential, and promptly report suspected compromise. You are responsible for activity through your account except to the extent law provides otherwise. You may not sell, share, transfer, or misuse credentials, impersonate another person, or bypass authentication, permissions, invitations, or other access controls.

You retain ownership of original content you submit. You grant SyncroTel Labs a worldwide, non-exclusive, royalty-free license to host, copy, process, display, transmit, modify solely for formatting or technical needs, and otherwise use that content as necessary to provide, secure, and improve the Services and fulfill your requests. This license ends when the content is deleted from active systems, except for reasonable backup, security, legal, and evidentiary retention and content you intentionally shared with others.

You represent that you have the rights and permissions needed to submit your content and that it does not violate law, these Terms, confidentiality duties, intellectual-property rights, privacy rights, or another person’s rights. Public visibility settings mean exactly that: material you designate public may be viewed, copied, or reshared by others beyond our control.

4. Acceptable use — don’t be a dick

You may not use the Services to:

  • violate law, regulation, sanctions, export controls, a court order, or another person’s rights;
  • harass, threaten, intimidate, discriminate against, exploit, stalk, dox, defame, or facilitate harm to anyone;
  • post or transmit unlawful, fraudulent, deceptive, infringing, invasive, sexually exploitative, or malicious material;
  • plan, encourage, or assist violence, unlawful surveillance, unauthorized intrusion, sabotage, or evasion of lawful authority;
  • introduce malware, probe or exploit vulnerabilities without written permission, disrupt infrastructure, bypass safeguards, or access accounts, data, or systems without authorization;
  • spam, scrape abusively, overload the Services, manipulate engagement, or use automated means contrary to technical restrictions or posted instructions;
  • misrepresent identity, provenance, evidence, affiliation, or endorsement, including presenting fictional, experimental, simulated, or AI-generated material as verified fact;
  • copy, redistribute, sell, or commercially exploit content contrary to its license, a provider’s terms, or applicable law; or
  • help another person do any of the above.

We may investigate suspected violations and remove content, limit features, preserve evidence, or suspend access when reasonably necessary to protect people, rights, systems, providers, or the Services.

5. Purchases, downloads, and third parties

Product descriptions, prices, taxes, fulfillment methods, and purchase-specific conditions shown at checkout are part of these Terms. Payments are processed by Stripe under Stripe’s terms and privacy policy. You authorize the applicable charges and agree to provide accurate billing information. You are responsible for taxes not collected at checkout. Refund, cancellation, subscription, and delivery rights are governed by the disclosures presented for the purchase and any non-waivable rights under applicable law. Contact us promptly about a billing or delivery problem before initiating an avoidable payment dispute.

The Services may display, embed, depend on, or link to third-party sites, software, data, media, or services. We do not control or endorse them and are not responsible for their accuracy, availability, legality, security, content, or conduct. Your use of a third party may be governed by separate terms. Attribution or interoperability does not imply affiliation, sponsorship, or endorsement.

6. Intellectual property and feedback

The Services, SyncroTel Labs branding, original software, interfaces, designs, publications, and other original material are owned by SyncroTel Labs or its licensors and protected by applicable law. Third-party marks and materials remain the property of their owners. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable permission to access and use the Services for their intended purposes. Open-source components and separately licensed downloads remain governed by their applicable licenses.

You may not remove ownership notices or imply our endorsement without permission. If you voluntarily provide feedback or ideas, you permit us to use them without restriction or compensation, while retaining any rights you already hold in the underlying material.

7. Availability and disclaimer of warranties

We may add, change, restrict, suspend, or discontinue any Service or feature. We do not promise uninterrupted access, preservation of content, backward compatibility, or continued availability of any integration, link, product, or experimental function. Keep independent copies of anything you cannot afford to lose.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. SYNCROTEL LABS DISCLAIMS WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AVAILABILITY, SECURITY, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT A SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SAFE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT, DATA, OUTPUTS, OR RESULTS WILL BE CORRECT.

8. Limitation of liability and indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, SYNCROTEL LABS AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, CONTRIBUTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR OPPORTUNITY; PERSONAL INJURY; PROPERTY DAMAGE; REPUTATIONAL HARM; OR ACTIONS TAKEN IN RELIANCE ON A SERVICE, EVEN IF ADVISED SUCH HARM WAS POSSIBLE. WHERE LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID SYNCROTEL LABS FOR THE APPLICABLE SERVICE DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US$100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PART OF THIS SECTION MAY NOT APPLY TO YOU.

To the extent permitted by law, you will defend, indemnify, and hold harmless SyncroTel Labs and the parties listed above from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your unlawful or harmful use, your content, your breach of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim was caused by our own unlawful conduct.

9. Suspension, governing law, and general terms

We may suspend or terminate access when we reasonably believe you violated these Terms or when law, security, provider restrictions, nonpayment, or the rights or safety of others require it. Provisions that by their nature should survive termination—including ownership, disclaimers, liability limits, indemnity, and general terms—will survive.

Pennsylvania law governs these Terms without regard to conflict-of-law rules, except where mandatory consumer law requires otherwise. Any dispute not subject to a different written client agreement must be brought in a court of competent jurisdiction in Pennsylvania, and each party consents to that jurisdiction and venue.

If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary and the rest will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them with the applicable business or Service. These Terms and the Privacy Policy are the entire agreement concerning general use of the Services, except for any more specific written agreement.

We may update these Terms to reflect changes to the Services, law, or our practices. We will post the revised version and effective date and provide additional notice when reasonably required. Continued use after updated Terms take effect constitutes acceptance to the extent permitted by law.
